1. About Ultimate Collective LLC
Ultimate Collective LLC ("we," "us," "our") is a management consulting and software company specializing in services for music industry professionals, including artists, labels, managers, DJs, and promoters. We operate across France, Thailand, and the United Kingdom.

2. Scope of Services
Our services encompass management consulting, business development, software tools and platforms, and digital strategy. The specific scope of services, deliverables, timelines, and fees are detailed in individual service agreements or proposals agreed upon prior to engagement.
2.1 Service Delivery
We will use commercially reasonable efforts to deliver services as described in any applicable proposal or statement of work. Performance timelines are estimates and may be affected by factors including client responsiveness and market conditions.
2.2 Client Responsibilities
Clients agree to provide timely access to required information, accounts, and assets necessary for service delivery. Delays attributable to the client do not constitute a breach by Ultimate Collective LLC.
3. Software Products
Our software products (including but not limited to djleakz.co) are subject to separate terms of service and end-user license agreements. These Terms & Conditions govern our consulting and professional services only.
4. Intellectual Property
Upon full payment of applicable fees, Ultimate Collective LLC transfers to the client ownership of final deliverables specifically created under the engagement. We retain all rights to our proprietary methodologies, frameworks, tools, software architecture, and pre-existing intellectual property.
5. Confidentiality
Both parties agree to maintain the confidentiality of proprietary or sensitive information disclosed during the engagement. This obligation survives termination of the engagement for a period of two years.
6. Payment Terms
Payment terms are specified in individual service agreements. Unless otherwise agreed, invoices are due within 30 days of issuance. Late payments may incur statutory interest charges.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Ultimate Collective LLC shall not be liable for indirect, incidental, consequential, or punitive damages. Our total liability for claims arising from any engagement shall not exceed the fees paid by the client in the three months preceding the claim.
8. Warranties
We represent that services will be performed with reasonable professional skill and care. We do not guarantee specific commercial outcomes, as these depend on market conditions and factors outside our control.
9. Termination
Either party may terminate an engagement with 30 days written notice. The client is responsible for fees incurred to the termination date. Immediate termination is permissible for material breach, including sustained non-payment.
10. Governing Law
These terms are governed by French commercial law to the extent applicable. For operations in Thailand and the United Kingdom, local commercial law applies accordingly. Disputes shall first be addressed through good-faith negotiation.

12. Changes to These Terms
We reserve the right to update these terms. Material changes will be posted on our website. Continued engagement with our services after changes constitutes acceptance.
